Taicho Terms of Service

1. Agreement and Eligibility

By accessing or using Taicho, you agree to these Terms of Service (“Terms”). If you do not agree, do not use Taicho.

You must be at least 18 years old and legally capable of entering into binding contracts to use Taicho.

If you are using Taicho on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Product Description

Taicho is a software-as-a-service (SaaS) AI platform providing Content, Outreach, and Nurture features, with optional Automations and Brain modules. Enterprise implementation is available.

Taicho is delivered online. Enterprise plans may include additional implementation options as agreed in a separate order form.

3. Accounts and Security

You must create an account to access Taicho. You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities that occur under your account. Notify us immediately at support@taicho.ai of any unauthorized use or security breach.

4. Customer Inputs and Lawful Rights

You retain all rights to content, data, and materials you submit to Taicho (“Customer Inputs”).

You represent and warrant that you have all necessary rights, licenses, and permissions to provide Customer Inputs and to grant the rights described in these Terms.

5. Acceptable Use

You may use Taicho only as permitted by law and these Terms.

You will not:

• Use Taicho for unlawful, harmful, or fraudulent purposes;
• Infringe, misappropriate, or violate any intellectual property or other rights of any person;
• Attempt to gain unauthorized access to Taicho or related systems;
• Interfere with or disrupt the integrity or performance of Taicho;
• Use Taicho to develop competing products or services.

6. AI Output Limitations

Taicho uses AI and machine learning models. Outputs may be inaccurate, incomplete, or inappropriate.

You are solely responsible for reviewing and verifying all outputs before relying on them.

Taicho is not designed for, and must not be used for, regulated or high-impact decisions (including but not limited to medical, legal, financial, or safety-critical matters) without independent human review.

7. Plans, Subscription, and Usage Charges

Taicho offers Free, Plus, Pro, Team, and Enterprise plans. Details are available on the Pricing page.

Paid plans are billed monthly in advance. Included credits refresh every Monday at 00:00 UTC.

Usage beyond included credits may incur additional charges as described on the Pricing page.

8. Monthly Renewal

All subscriptions renew automatically each month unless cancelled in accordance with the Cancellation and Refund Policy.

9. Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government charges.

10. Cancellation and Refunds

You may cancel your subscription at any time as described in the Cancellation and Refund Policy.

Refunds, if any, are governed by the Cancellation and Refund Policy.

11. Intellectual Property and Feedback

We and our licensors retain all rights, title, and interest in and to Taicho, including all software, technology, and content (excluding Customer Inputs).

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate them into Taicho without restriction.

12. Customer Data and License

You grant us a worldwide, non-exclusive license to use, host, copy, process, transmit, and display Customer Inputs as necessary to provide and improve Taicho.

We do not claim ownership of your Customer Inputs.

13. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with Taicho, except as required by law or as necessary to provide the service.

14. Third-Party Providers

Taicho may use third-party providers for AI models, cloud infrastructure, payment processing, and other services.

Your use of Taicho is subject to the terms and privacy practices of these providers.

15. Availability and Changes

We may modify, suspend, or discontinue Taicho or any feature at any time, with or without notice.

We are not liable for any unavailability, modification, or discontinuation of Taicho.

16. Warranty Disclaimer

Taicho is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Taicho will be error-free, secure, or uninterrupted.

17. Limitation of Liability

To the maximum extent permitted by law, Vector Notion Digital and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of Taicho.

Our total liability for any claim arising out of or relating to these Terms or Taicho will not exceed the amount paid by you to us for the service during the twelve months prior to the event giving rise to the claim.

18. Indemnity

To the extent permitted by Indian law, you agree to indemnify and hold harmless Vector Notion Digital and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of Taicho or your violation of these Terms.

19. Suspension and Termination

We may suspend or terminate your access to Taicho at any time if you violate these Terms or as required by law.

Upon termination, your right to use Taicho ceases immediately.

20. Data After Termination

After termination, we will handle your data in accordance with our Privacy Policy and any applicable order form.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Any disputes will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

22. Changes to Terms

We may update these Terms from time to time. Changes will be effective upon posting to this page. Your continued use of Taicho after changes constitutes acceptance.
